Petl Pay is the trading name of Rafiki Works LTD ("Petl Pay", "we", "us", or "our"). Rafiki Works LTD is the data controller for the purposes of applicable data protection laws.

These Terms of Service ("Terms") govern your access to and use of the Petl Pay platform, including any websites, applications, APIs, dashboards, and related software and services (collectively, the "Platform").

By creating an account, accessing, or using any part of the Platform, you agree to be legally bound by these Terms. If you do not agree, you must not use the Platform.

1. Overview of the Petl Pay Platform

1.1 Platform Description

Petl Pay is a technology platform that provides workflow, invoicing, and payment-orchestration tools to businesses, agencies, freelancers, contractors, contributors, and project-based teams, including:

• Time tracking and automated invoice generation
• Multi-party invoice aggregation and roll-ups
• Unified client payment requests
• Routing of contributor payout instructions
• Project and payment workflow coordination
• Visibility and reporting across project-based payments

Petl Pay provides software and technical infrastructure only.

Petl Pay is not:

• A bank, credit institution, or deposit-taking entity
• A payment service provider (PSP)
• A money transmitter or remittance provider
• A custodian or trustee of funds or digital assets
• A foreign exchange dealer
• An investment adviser, broker, or intermediary
• A virtual asset service provider (VASP) or crypto-asset service provider (CASP)

Petl Pay does not itself provide regulated financial services.

1.2 Third-Party Financial Infrastructure

Financial functionality made available through the Platform is provided exclusively by independent, third-party providers that are licensed and regulated in their respective jurisdictions. This includes, without limitation, providers of:

• Payment processing and settlement
• Custody or safeguarding of funds or digital assets
• KYC/KYB, AML, and sanctions screening
• Fiat on-ramps and off-ramps
• Stablecoin issuance, conversion, or blockchain settlement

You must accept and comply with the applicable third-party terms, policies, and onboarding requirements in order to access any payment or financial features.

Petl Pay does not control and is not responsible for:

• Approval or rejection decisions
• Compliance determinations
• Transaction limits, freezes, or delays
• Settlement timelines
• Exchange rates or FX spreads
• Blockchain network performance
• Custody or safeguarding of funds

1.3 Non-Custodial; No Control of Funds

Petl Pay operates on a strictly non-custodial basis.

Petl Pay:

• Does not hold, receive, store, safeguard, or control user funds
• Does not take possession of fiat or digital assets at any time
• Does not manage private keys or wallet credentials
• Does not intermediate, pool, or escrow user money
• Does not execute transactions on its own behalf
• Does not act as a merchant of record, payment intermediary, or financial counterparty in relation to any payment executed through the Platform

All payment execution, custody (where applicable), and settlement are performed by licensed third-party providers or occur directly between users and such providers. User funds never enter Petl Pay’s possession or control.

2. Eligibility and Account Requirements

You must:

• Be at least 18 years old
• Have the legal capacity to enter into binding contracts
• Use the Platform only for lawful business or professional purposes
• Provide accurate, complete, and up-to-date information

You are responsible for:

• Maintaining the security of your login credentials
• All activity conducted through your account
• Ensuring your use of the Platform complies with applicable laws and regulations
• Ensuring your business is authorised to send, receive, or interact with digital assets or payment services where applicable

3. KYC, KYB, Compliance and Verification

3.1 When Verification Is Required

Certain non-financial features of the Platform may be accessed without verification.

To enable payments, stablecoin transactions, payouts, or financial integrations, you must successfully complete KYC/KYB with a licensed third-party provider.

3.2 Third-Party Compliance Decisions

All compliance, onboarding, monitoring, suspension, and termination decisions relating to financial services are made solely by third-party providers based on:

• Regulatory requirements
• Sanctions and AML obligations
• Risk and fraud assessments
• Jurisdictional restrictions

Petl Pay does not make, influence, or override these decisions.

3.3 Legal and Regulatory Disclosures

Where required by law, Petl Pay and/or its partners may disclose information to regulators, law enforcement, tax authorities, or other competent authorities.

4. Platform Features and User Responsibilities

4.1 Invoicing, Projects and Workflows

The Platform enables users to manage project-based workflows, including time tracking, invoicing, and payment instructions.

You remain solely responsible for:

• The accuracy of time entries and invoices
• Tax calculation, reporting, and compliance
• Contractual relationships with clients, contributors, and counterparties
• Determining the legality of your activities in relevant jurisdictions

4.2 Payment Instruction Routing

Petl Pay enables users to submit instructions regarding payment allocation, contributor splits, and payout routing.

You acknowledge that:

• Petl Pay does not execute payments
• Instructions are transmitted exactly as provided by users
• Transactions are executed by licensed third-party providers
• Blockchain and payment transactions may be irreversible

Users are solely responsible for reviewing and confirming all payment instructions prior to submission.

4.3 User-Initiated Payment Instructions

All payment instructions transmitted through the Platform are initiated and authorised solely by users.

Petl Pay acts only as a technical interface and messaging layer enabling users to generate and transmit payment instructions to third-party financial institutions or payment providers.

Petl Pay:

• does not originate or authorise payments on behalf of users
• does not determine the recipient, amount, or timing of payments
• does not modify payment instructions submitted by users
• does not act as agent or intermediary for either the payer or the payee

Users acknowledge that all payment instructions originate from the user and are executed by licensed financial institutions.

4.4 Payment Verification Responsibility

Users are solely responsible for verifying the accuracy of all payment instructions, including recipient bank account details or wallet addresses, prior to authorising a transaction.

Petl Pay does not verify recipient identities or payment details.

Users should independently confirm payment instructions through trusted communication channels before sending funds.

4.5 Authorised Push Payment (APP) Fraud

Authorised Push Payment fraud occurs where a payer is deceived into authorising a payment to an unintended recipient.

Petl Pay does not execute payment transactions and does not control the payment infrastructure through which payments are processed.

To the maximum extent permitted by law:

• Petl Pay shall not be responsible for losses arising from authorised payments made under fraud, deception, impersonation, or incorrect payment instructions
• Petl Pay shall not be liable for payments sent to fraudulent or incorrect accounts where such instructions were authorised by the payer

Users acknowledge that payment transactions executed by third-party providers may be irreversible.

4.6 Payee Account Representations

Users providing bank accounts or wallet addresses represent and warrant that:

• they are the lawful owner or authorised controller of the account
• the account is not used for fraudulent or unlawful purposes
• payment details supplied are accurate

Users agree to indemnify Petl Pay against losses arising from payments made to accounts they provided.

4.7 Fraud Investigation and Cooperation

In the event of fraud investigations or reimbursement claims involving transactions connected to the Platform, users agree to cooperate with Petl Pay and relevant financial institutions.

Petl Pay may:

• request transaction information
• suspend accounts
• disable payment features
• share information with financial institutions or authorities
• take steps to recover funds where fraud is suspected

5. Marketplace and Third-Party Participants

Where the Platform displays contributors or service providers:

• Listings may be curated or moderated
• Petl Pay does not guarantee accuracy or performance
• All engagements occur directly between users
• Petl Pay is not a party to underlying contracts

6. Fees and Pricing

Petl Pay may charge subscription, usage-based, transaction-related, or platform fees as disclosed within the Platform or agreed separately.

Fees may be modified upon notice.

Third-party providers may charge separate fees under their own terms.

7. Third-Party Services and Integrations

Financial services available through the Platform are provided solely by third parties.

Petl Pay is not responsible for:

• third-party outages
• freezes or compliance decisions
• delays in settlement
• transaction failures

8. Prohibited Activities

Users may not use the Platform to:

• violate laws or regulations
• engage in fraud or money laundering
• evade tax or reporting obligations
• misrepresent identity or business
• circumvent KYC/KYB requirements
• compromise Platform security

Petl Pay may suspend or terminate accounts for violations.

9. Intellectual Property

All software, documentation, branding, and content are owned by Rafiki Works LTD and licensed to users on a limited, non-exclusive basis.

10. Disclaimers

The Platform is provided on an “as is” and “as available” basis.

Petl Pay disclaims all warranties including:

• availability
• accuracy
• merchantability
• fitness for purpose

Nothing on the Platform constitutes legal, tax, financial, or investment advice.

11. Limitation of Liability

To the maximum extent permitted by law:

• Petl Pay is not liable for indirect, incidental, consequential, or punitive damages
• Petl Pay is not liable for losses arising from authorised push payments, payment instruction errors, impersonation, or compromised communications
• Petl Pay is not liable for losses caused by third-party financial providers or blockchain networks

Total liability shall not exceed the fees paid to Petl Pay in the preceding 12 months.

12. Indemnification

You agree to indemnify and hold harmless Petl Pay, Rafiki Works LTD, and their directors, officers, employees, and affiliates from claims arising from your use of the Platform or violation of these Terms.

13. Suspension and Termination

Petl Pay may suspend or terminate access where required by law, requested by a financial provider, or where user activity presents legal or operational risk.

14. Governing Law

These Terms are governed by the laws of England and Wales.

The courts of England and Wales have exclusive jurisdiction.

15. Modifications

Petl Pay may update these Terms from time to time.

Continued use of the Platform constitutes acceptance of updated Terms.
